Ownership, Governance, and Control
Chew wrote that the new TikTok entity will be majority owned by American investors, governed by a seven-member board with a majority of American directors, and bound by terms intended to protect U.S. data and national security. The memo outlines an expected ownership breakdown: 50% held by a consortium of new investors, including Oracle, Silver Lake, and MGX at 15% each. A little over 30% will be held by affiliates of certain existing ByteDance investors, while ByteDance will retain nearly 20%.
Data Security and Algorithm Safeguards
The joint venture will be responsible for protecting U.S. data, securing the recommendation algorithm, content moderation, and “software assurance.” Oracle is expected to serve as the trusted security partner, auditing and validating compliance with agreed national security terms. Sensitive U.S. user data will be stored in Oracle’s U.S.-based cloud data centers, according to the memo.
